1. Acceptance of Terms

By accessing and using the services provided by EARTHENLY PRIVATE LIMITED ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service apply to all users of our manufacturing services, digital marketing services, and website visitors. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

2. Service Description

EARTHENLY PRIVATE LIMITED provides two main categories of services:

Manufacturing Services

• Custom and standard furniture manufacturing

• Photo frames and decorative fixtures production

• Bespoke furniture design and creation

• Construction and renovation services

• Quality assurance and delivery services

Digital Marketing Services

• Search Engine Optimization (SEO)

• Social Media Marketing and Management

• Content Creation and Marketing

• Pay-Per-Click (PPC) Advertising

• Digital strategy consultation and implementation

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information when requesting services

• Make timely payments according to agreed terms

• Cooperate with our team to ensure successful project completion

• Respect intellectual property rights and confidentiality agreements

• Use our services in compliance with applicable laws and regulations

• Provide necessary approvals and feedback within specified timeframes

4. Payment Terms

Manufacturing Services

Payment terms for manufacturing services are as follows:

• 50% advance payment upon order confirmation

• 40% payment upon completion of manufacturing

• 10% final payment upon delivery and installation (if applicable)

• Custom projects may require different payment schedules as agreed

Digital Marketing Services

Payment terms for digital marketing services:

• Monthly retainer fees are due in advance

• Project-based work requires 50% advance payment

• Ad spend budgets are separate from service fees

• Late payments may result in service suspension

5. Delivery and Timeline

We strive to meet all agreed-upon deadlines and delivery schedules. However, timelines may be affected by factors beyond our control, including but not limited to material availability, weather conditions, client feedback delays, or unforeseen circumstances.

For manufacturing services, delivery timelines will be specified in the project agreement and may vary based on complexity, customization requirements, and current workload. Standard furniture items typically require 2-4 weeks, while custom pieces may take 4-8 weeks.

Digital marketing campaigns and projects will have timelines specified in the service agreement. Monthly services are ongoing with regular reporting and optimization cycles.

6. Quality Assurance and Warranties

Manufacturing Warranty

• 1-year warranty on manufacturing defects for furniture items

• 6-month warranty on photo frames and fixtures

• Warranty covers material and workmanship defects only

• Normal wear and tear, misuse, or damage not covered

• Warranty service includes repair or replacement at our discretion

Digital Marketing Performance

• We provide best-effort services based on industry standards

• Results may vary based on market conditions and competition

• Regular reporting and optimization included in all packages

• No guarantee of specific rankings or conversion rates

• Performance metrics will be tracked and reported monthly

7. Intellectual Property

All original designs, concepts, and creative work developed by EARTHENLY PRIVATE LIMITED remain our intellectual property until full payment is received. Upon complete payment, clients receive full rights to use the delivered products and marketing materials.

Clients retain ownership of their brand assets, logos, and existing content provided to us. We may use project examples in our portfolio and marketing materials unless specifically restricted by confidentiality agreements.

Any third-party materials, software, or tools used in our services remain the property of their respective owners. Clients are responsible for obtaining necessary licenses for ongoing use of such materials.

8. Limitation of Liability

EARTHENLY PRIVATE LIMITED's liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service in question. We shall not be liable for any indirect, incidental, special, or consequential damages.

For manufacturing services, our liability is limited to repair, replacement, or refund of defective products. We are not responsible for damages caused by misuse, normal wear and tear, or modifications made by third parties.

For digital marketing services, we are not liable for changes in search engine algorithms, platform policy changes, or market conditions that may affect campaign performance.

9. Cancellation and Refund Policy

Manufacturing Services

• Cancellations before production starts: 90% refund of advance payment

• Cancellations after production begins: No refund, but completed work delivered

• Custom orders cannot be cancelled once production starts

• Material costs are non-refundable once ordered

Digital Marketing Services

• Monthly services: 30-day notice required for cancellation

• Project-based work: Refund based on work completed

• Ad spend budgets are non-refundable once campaigns are live

• Setup fees are non-refundable once work begins

10. Privacy and Confidentiality

We respect your privacy and maintain strict confidentiality of all client information. Personal and business information shared with us will not be disclosed to third parties without your explicit consent, except as required by law.

For digital marketing services, we may need access to your business accounts and data. We commit to using this access solely for providing agreed services and maintaining the security of your information.

All employees and contractors are bound by confidentiality agreements. We implement appropriate security measures to protect your information from unauthorized access, alteration, or disclosure.

11. Dispute Resolution

Any disputes arising from our services will first be addressed through direct communication and good-faith negotiation. We encourage clients to contact us immediately if any concerns arise during the service period.

If direct resolution is not possible, disputes will be resolved through mediation in Tripura, India. The laws of India shall govern these terms and any disputes arising from our services.

Both parties agree to make reasonable efforts to resolve disputes amicably before pursuing legal action. Any legal proceedings must be initiated within one year of the dispute arising.

12. Modifications to Terms

EARTHENLY PRIVATE LIMITED reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

For ongoing service contracts, significant changes to terms will be communicated with 30 days' notice. Clients may choose to terminate services if they do not agree to modified terms.

We recommend reviewing these terms periodically to stay informed of any updates. The most current version will always be available on our website.
